1. Parties and Acceptance
These Terms govern use of the OpenList USA platform operated by [Entity Name TBD] ("Company"). By creating an account you agree to these Terms.
2. Nature of the Platform
The Platform is a technology marketplace and communication tool. The Company is not a licensed real estate broker, agent, salesperson, appraiser, attorney, title company, escrow company, or mortgage lender. No agency, brokerage, or fiduciary relationship is created between the Company and any User.
3. User Responsibilities
- Sellers are solely responsible for the accuracy, completeness, and legality of their listings.
- Buyers are solely responsible for conducting their own due diligence.
- Both parties are solely responsible for all negotiations, agreements, and legal documentation.
- Users must be 18 or older.
- Users may only list or inquire about properties in states where the Platform operates.
4. Subscriptions and Fees
Subscriptions are billed monthly via Stripe and auto-renew until cancelled. The $9.99 Virtual Deal Room fee is a one-time, non-refundable platform access fee.
5. AI Features: No Professional Advice
AI-generated content is for informational and educational purposes only. It does not constitute a broker price opinion, licensed appraisal, legal advice, or professional recommendation.
6. Virtual Deal Room
The Deal Room is a secure communication and document storage tool only. The Company is not a party to any negotiations and provides no legal, closing, title, or escrow services.
7. No Transaction Participation
The Company receives no compensation from, and holds no financial interest in, any transaction between users.
8. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed subscription fees paid in the preceding three months.
9. Indemnification
Users agree to indemnify the Company from claims arising from their listings, transactions, conduct, or violations of these Terms.
10. Governing Law

11. Modifications and Termination
The Company may modify these Terms with notice. Either party may terminate a subscription at any time. The Company reserves the right to suspend or terminate accounts that violate these Terms or applicable law.
